BlueRed Backstage — Terms and Conditions
These BlueRed Backstage Terms and Conditions of Use (the “BlueRed Backstage T&Cs”) govern your use of the Backstage platform (the “Platform”) and provide you with information about the services offered by the Platform (the “Services”).
The Platform is provided by BlueRed Digital (“We” or “Us”). Accordingly, the Backstage T&Cs constitute an agreement between you and BlueRed Digital. By clicking “I Accept,” you accept these Backstage T&Cs on your own behalf and, if you are the Main User, on behalf of your organization.
These BlueRed Backstage T&Cs may be supplemented by special terms and conditions applicable to particular Services (the “Special T&Cs”).
1. The Platform
The Platform is an online solution that centralizes various functionalities for BlueRed Digital and its Contractors to manage all aspects of the distribution of a Contractor’s music or video content (the “Content”) and associated services.
2. Acceptance of the BlueRed Backstage T&Cs
Users must accept the BlueRed Backstage T&Cs in order to access the Platform.
3. Access to the Platform and Services
The Platform is open to artists and producers (the “Contractors”) who have entered into a distribution agreement (the “Agreement”) with BlueRed Digital or one of its affiliated companies, in accordance with the applicable provisions of the Indian Contract Act, 1872, and other relevant Indian laws, as well as to the Contractors’ teams (the “Users”).
Users must be 18 years of age or older, in accordance with the age of majority as defined under Indian law, unless a local jurisdiction specifies a different age requirement.
BlueRed Digital reserves the right to offer different versions of the Platform to different Contractors, depending on the specific terms of their respective Agreements.
BlueRed Digital may periodically introduce new Services, which may be made automatically available to all Contractors or to select categories of Contractors, with or without modifications to the BlueRed Backstage T&Cs.
4. User Account
Account Creation
Following the execution of the Agreement, an email will be sent to the email address used by the Contractor during the negotiation and execution of the Agreement (the “Main Email”). By clicking the link provided in that email, the Contractor may access the Platform.
To use the Services provided under the Agreement, the Contractor must create an account (the “Account”).
Each User will be required to provide a password. The Contractor is solely responsible for maintaining the confidentiality of its Account and passwords, and for restricting access to its team’s devices.
The Contractor accepts responsibility for all activities that occur under its Account. If a User believes that their Account has been compromised, they must immediately notify BlueRed Digital. BlueRed Digital may require Users to change their passwords at any time. Access to the Platform may be suspended for Contractors or individual Users who refuse to comply.
Main User and Sub-Users
Upon first logging in to the Platform, the Contractor will be prompted to create Main-User access, from which Sub-User accounts may be created.
Main-User access must be used exclusively by an authorized signatory of the Contractor who has the power and authority to legally bind the Contractor.
The Main User must ensure that the Main Email associated with their account is always current, and that communications sent to that address can be received and read.
Certain actions may only be performed by the Main User, including creating Sub-Users, defining the Services to which Sub-Users have access, and contacting BlueRed Digital’s customer support team via the link available in the lower right corner of all Backstage pages.
The Main User is responsible for all actions taken by Sub-Users on the Platform. The Main User must grant Sub-Users access only to the Services they require to perform their duties under the Agreement. By granting a Sub-User access to a particular Service, the Main User authorizes that Sub-User to act on behalf of the Contractor in relation to that Service. The Main User and the Contractor are jointly and severally liable for all actions taken by Sub-Users on the Platform.
BlueRed Digital reserves the right, at its sole discretion and at any time, to determine that certain Services are available only to specific types of Users, and to restrict access accordingly — for instance, limiting certain actions to the Main User only, or requiring express Main-User authorization for Sub-Users to perform specific actions on the Platform.
BlueRed Digital also reserves the right to limit the number of Sub-Users.
Any requests concerning Main User access — such as changing the Main Email — may be submitted directly to BlueRed Digital’s customer support team.
The Main User is responsible for revoking Sub-User access when a Sub-User is no longer involved in the performance of the Agreement.
5. BlueRed Digital Intellectual Property
The Platform, including its content, visual interfaces, interactive features, audio, video, audiovisual materials, information, graphics, design, compilation, computer code, products, software, services, proprietary information, service marks, trademarks, trade names, and distinctive identifiers (such as logos), as well as the selection, sequence, “look and feel,” and arrangement of items and all other elements provided by BlueRed Digital (collectively, the “BlueRed Digital Materials”), are owned by and/or licensed to BlueRed Digital and are protected under applicable law.
Except as expressly authorized by BlueRed Digital, each User agrees not to sell, license, distribute, copy, modify, publicly perform or display, transmit, publish, edit, adapt, create derivative works from, or otherwise make unauthorized use of the Platform, the Services, or the BlueRed Digital Materials.
BlueRed Digital reserves all rights not expressly granted in these BlueRed Backstage T&Cs. Neither the Contractor nor any User shall acquire any right, title, or interest in the BlueRed Digital Materials, except for the limited rights expressly set forth herein.
6. Contractor Intellectual Property and User Content
The Contractor retains all proprietary rights to content that its Users download, share, modify, or create on the Platform (the “User Content”).
The rights granted to BlueRed Digital in respect of User Content, as defined in the Agreement, are governed by the Agreement.
Rights in User Content relating to particular Services may be governed by the applicable Special T&Cs.
Not withstanding the rights governed by the Agreement and the Special T&Cs, the Contractor grants BlueRed Digital a non-exclusive, royalty-free, transferable license to use, reproduce, digitize, encode, store, transmit, distribute, modify, adapt, translate, prepare derivative works of, display, perform, or otherwise exploit such User Content in connection with the operation of the Platform and Services. The consideration for this license is BlueRed Digital’s performance of its services under the Agreement.
All User Content remains under the Contractor’s sole control and responsibility at all times. BlueRed Digital does not exercise editorial control over User Content, and nothing herein obliges BlueRed Digital to verify the representations and warranties made by Users with respect to User Content.
Feedback
Any feedback, analysis, suggestions, or comments provided by Users to BlueRed Digital will become the property of BlueRed Digital.
7. User Representations and Warranties
The Main User and each Sub-User independently, as well as the Contractor on behalf of all Users under its Account, jointly warrant and represent that:
- Any User accessing the Platform is 18 years of age or older.
- The Contractor owns, or has obtained all necessary licenses, rights, consents, and permissions to use and to authorize BlueRed Digital to use, all proprietary rights in and to any and all User Content.
- User Content, and BlueRed Digital’s use of such User Content for the operation of the Platform and the performance of related Services, does not and will not infringe, violate, or misappropriate any third-party right, or violate any applicable law or regulation.
The Main User and each Sub-User independently, as well as the Contractor on behalf of all Users under its Account, undertake to:
- Comply, at their full liability, with all regulations applicable to the operations they perform.
- Use the Platform and Services in accordance with the Backstage T&Cs.
- Use the Platform and Services solely for the benefit of the Contractor, and not to reproduce, duplicate, copy, sell, trade, resell, distribute, or exploit any portion of the Platform or Services for any purpose other than for the Contractor’s own use.
- Be truthful in any declaration they may make while using the Platform. BlueRed Digital is not required to verify any such declaration, which is made under the Contractor’s sole responsibility.
8. Prohibited Uses of the Platform
Each User agrees not to:
- Use the Platform for any purpose that is unlawful or prohibited.
- Use the Platform unreasonably or overload it with an excessive number of queries.
- Intentionally interfere with, damage, impair, or disable the operation of the Platform or any User’s enjoyment of it by any means, including but not limited to uploading or disseminating viruses, worms, spyware, adware, or other malicious code, or placing a disproportionate load on the Platform so as to deny service to other Users.
- Remove, circumvent, disable, damage, or otherwise interfere with any security-related feature of the Platform, any feature that prevents or restricts the use or copying of any part of the Platform, or any feature that enforces limitations on the use of the Platform.
- Attempt to gain unauthorized access to the Platform or any part thereof, to other accounts, or to computer systems or networks connected to the Platform, through hacking, password mining, or any other means, or interfere with or attempt to interfere with the proper working of the Platform or any Services performed through it.
- Obtain or attempt to obtain any materials or information through means not intentionally made available through the Platform.
- Modify the Platform in any manner, or use modified versions of the Platform, including for the purpose of obtaining unauthorized access.
- Use any robot, spider, scraper, or other automated means to access the Platform for any purpose without BlueRed Digital’s express prior written permission, or bypass robot exclusion headers or other measures BlueRed Digital may use to prevent or restrict access or unreasonable use of the Platform.
- Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Platform or any part thereof.
- Modify, adapt, translate, or create derivative works based upon the Platform or any part thereof.
- Impersonate another person or entity, or falsely state or otherwise misrepresent their affiliation with any person or entity.
9. Breaches
In the event of a breach of any of the representations and warranties set out in Article 7, or a prohibited use of the Platform as described in Article 8, and except in cases of emergency, BlueRed Digital will send written notice to the Main Email identifying the breach and, where the breach is remediable, the steps required to remedy it. The applicable cure period will depend on the severity of the breach.
Should a breach prove irremediable, or should the Contractor fail to take all reasonable steps to cure the breach within the notice period, BlueRed Digital shall be entitled — upon the expiry of the applicable cure period, at its sole discretion, acting reasonably and proportionately to the harm suffered — to take one or more of the following measures:
- Suspend one or more User accounts, or an Account in its entirety, with respect to the specific Services whose use gave rise to the breach;
- Suspend one or more individual Users’ access to the Platform, where those Users are responsible for the breach;
- Suspend the Account in its entirety;
- Terminate one or more User accounts; or
- Terminate the Account in its entirety.
The measures set out above may be applied cumulatively or successively, and shall not preclude BlueRed Digital from seeking indemnification, damages, or any other remedy from the Contractor, including the immediate payment of any applicable liquidated damages.
10. Disclaimer — No Warranties
No Warranties
To the fullest extent permitted by applicable law, BlueRed Digital disclaims all warranties — whether statutory, express, or implied — applicable to the Platform and any Services or features made available to Users on the Platform. No advice or information, whether oral or written, obtained from BlueRed Digital or through the Platform, shall create any warranty not expressly stated herein or in the Special T&Cs.
Third-Party Services and Content
In providing the Platform and Services, BlueRed Digital may be required to enter into agreements with various third parties. Some Services may redirect Users to third-party platforms, which will be subject to those third parties’ own terms and conditions. Under no circumstances shall BlueRed Digital be liable for any third-party content or services.
Platform Availability
BlueRed Digital does not warrant that the Platform, the Services, or any information offered on or through the Platform will be uninterrupted, free of errors, viruses, or other harmful components, or that any such issues will be corrected.
BlueRed Digital may modify or discontinue any of the Services available on the Platform at any time, with reasonable notice where possible and appropriate given the nature of the Service. BlueRed Digital makes no commitment to update any Service or any part of the Platform, or to keep it current.
Accuracy
BlueRed Digital does not warrant or make any representations regarding the use of, or results obtained from the use of, the Platform and Services, in terms of correctness, accuracy, reliability, or otherwise.
Risk of Use
Each User and the Contractor acknowledge and agree that accessing, downloading, or otherwise obtaining information, materials, or data through the Platform is done at their own discretion and risk. They shall be solely responsible for any damage to their property (including their computer systems) or loss of data resulting from the use of, download from, or other access to, such material or data.
11. Muplay Terms and Conditions
Muplay is an application operated by BlueRed Digital. It is a music streaming platform on which any song uploaded through the Backstage dashboard will automatically be published.
The following services and features are available to you:
- Song Publishing: Any song uploaded through the dashboard will automatically be published on Muplay.
- Analytics and Insights: You will be able to view streaming statistics, song listings, and other relevant details directly from your dashboard.
By using this service, you agree to comply with all applicable guidelines for uploading content and managing your music distribution.
12. Indemnification
The Contractor agrees to indemnify and hold harmless BlueRed Digital and its affiliates, and their respective officers, directors, employees, agents, and representatives, from and against any and all claims, losses, obligations, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with:
- Users’ use or misuse of the Platform and Services;
- Users’ violation of these Backstage T&Cs;
- Users’ violation of the rights of any other person or entity;
- Users’ breach of the representations, warranties, and covenants set forth herein; and
- Any unauthorized use of the Account not caused by BlueRed Digital.
BlueRed Digital reserves the right, at the Contractor’s expense, to assume exclusive control of the defense of any matter for which the Contractor is required to indemnify BlueRed Digital. The Contractor agrees to cooperate fully with BlueRed Digital’s defense of any such claims, and not to settle any matter giving rise to an indemnification obligation without BlueRed Digital’s prior written consent. BlueRed Digital will use reasonable efforts to notify the Contractor of any such claim, action, or proceeding upon becoming aware of it.
Limitation of Liability
Subject to applicable law, under no circumstances and under no legal theory — including, without limitation, negligence — shall BlueRed Digital, its affiliates, licensors, or suppliers be liable for any special, indirect, incidental, consequential, or exemplary damages (including, without limitation, loss of profits, loss of data, loss of use, or cost of cover) arising out of or relating to these Backstage T&Cs, or resulting from Users’ use of, or inability to use, the Platform and Services, even if BlueRed Digital has been advised of the possibility of such damages.
Nothing in these T&Cs seeks to exclude or limit BlueRed Digital’s liability for:
- Fraud or fraudulent misrepresentation;
- Death or personal injury caused by negligence; or
- Any other liability that cannot be excluded or limited under applicable law.
13. Termination
The Main User may terminate Sub-Users’ access at any time.
The Main User’s access and the Account will remain active for the duration of the Agreement.
The Account will be closed or restricted upon termination of the Agreement; however, the Contractor will be permitted to download its data for a reasonable period following termination.
BlueRed Digital may suspend or terminate any Main User’s or Sub-User’s access, or any Account, at any time without notice if a User violates these T&Cs, in accordance with Article 9 above.
14. Miscellaneous
Notices
Notices under these Backstage T&Cs may be provided to Users and Contractors by posting on the Platform or by email to the Main Email. It is the responsibility of the Main User and the Contractor to keep the Main Email up to date and to monitor that inbox regularly. Notices sent by email will be deemed received twenty-four (24) hours after dispatch, unless BlueRed Digital is notified that the email address is invalid. Notices to BlueRed Digital may be sent to: legal@bluereddigital.com.
Governing Law
These Backstage T&Cs shall be governed by and construed in accordance with the laws of India, specifically the laws of Uttarakhand, without regard to its conflict of laws principles.
Jurisdiction
Any dispute arising out of or in connection with these Backstage T&Cs shall be brought before the courts of Dehradun, Uttarakhand, India. Each User and Contractor hereby consents to the personal and exclusive jurisdiction of such courts. Users and Contractors agree that they will not initiate or participate in any class action against BlueRed Digital.
Severability
If any provision of these Backstage T&Cs is found to be unlawful, void, or unenforceable for any reason, that provision shall be deemed severable from these Backstage T&Cs and shall not affect the validity or enforceability of the remaining provisions.

Data Policy, Privacy & Data Breach Notice
For Use on the BlueRed Backstage Platform and bluereddigital.com
Effective Date: April 2020
BlueRed Digital (“We,” “Us,” or “Our”) is committed to protecting the personal data of every artist, producer, and user (collectively, “Users” or “Data Principals”) who interacts with the Backstage platform or our website. This document sets out:
- What data we collect and why.
- How we use, store, and protect that data.
- Your rights over your personal data.
- Our obligations and your protections in the event of a data breach, cyberattack, unauthorized access, or any other unforeseen data security incident.
This policy is governed by India’s Digital Personal Data Protection Act, 2023 (the “DPDPA”) and the DPDP Rules, 2025, and forms part of the BlueRed Backstage Terms and Conditions. In the event of any conflict, the DPDPA shall prevail.
1. Data We Collect
We collect only the minimum personal data required to deliver our services. This includes:
1.1 Account and Identity Data
- Full name and email address.
- Password (stored in encrypted form; we never store plain-text passwords).
- Organization name and authorized signatory details (for Main Users).
- Government-issued identity information, where required by law for payment processing or KYC compliance.
1.2 Content and Distribution Data
- Music files, video files, artwork, metadata, and associated rights information that you upload to the Platform.
- ISRC codes, UPC codes, release titles, and other distribution identifiers.
- Royalty account and bank/payment details for remitting earnings.
1.3 Platform Usage Data
- Login timestamps, session data, and IP addresses.
- Streaming analytics, play counts, and revenue reports sourced from third-party digital service providers (DSPs) such as Spotify, Apple Music, and others.
- Browser type, device type, and operating system (collected automatically for platform security and functionality).
1.4 Communications Data
- Support tickets, emails, and messages you send to us.
- Feedback, suggestions, or comments submitted through the Platform.
| IMPORTANT — We do NOT use your uploaded music or content to train artificial intelligence | or machine learning models, now or in the future, without your explicit separate written consent. | This is a firm commitment of BlueRed Digital and a key distinction from many other distributors. |
2. How We Use Your Data
We process your personal data on the basis of your consent and for the following legitimate purposes only:
- To create and manage your Account and provide access to the Platform.
- To distribute your Content to digital service providers in accordance with your Agreement with us.
- To calculate, report, and remit royalties and earnings.
- To provide customer support and respond to your enquiries.
- To send you service-related notices, such as updates to these policies, changes to the Platform, or payment notifications.
- To comply with applicable laws, regulations, court orders, or lawful government requests.
- To detect, investigate, and prevent fraud, security breaches, and other unlawful activity on the Platform.
8. We can use your data for legitimate purposes to promote our digital platform as catalogue.
3. Data Retention
We retain your personal data only for as long as is necessary for the purposes described in this policy, or as required by applicable law. Specifically:
- Account data is retained for the duration of your Agreement with us and for a period of time till your agreement lasts. Thereafter, to comply with applicable tax and accounting obligations.
- Content and distribution data is retained for the duration of your Agreement. Upon termination, you will be provided a reasonable window (not less than sixty (60) days) to download your data and final reports before deletion.
- Communication and support data is retained till the duration of agreement with BlueRed Backstage.
Upon the expiry of the relevant retention period, your data will be securely deleted or anonymized so that it can no longer be linked to you.
4. Your Rights as a Data Principal
Under the DPDPA, 2023, you have the following rights in respect of your personal data:
4.1 Right to Access
You may request a summary of the personal data we hold about you and information on how it is being processed. We will respond to access requests within thirty (30) days.
4.2 Right to Correction
You may request that we correct or update any inaccurate or incomplete personal data we hold about you.
4.3 Right to Erasure
You may request the deletion of your personal data where it is no longer required for the purposes for which it was collected, subject to any legal retention obligations.

We will acknowledge your request within forty-eight (48) hours and resolve it within thirty (30) days.
5. Data Breach, Cyberattack & Unforeseen Incident Policy
| This section governs BlueRed Digital’s obligations and your rights in the event of any | unforeseen data security incident, including hacking, unauthorized access, accidental | disclosure, system failure, cyberattack, ransomware, or any other breach of personal data. |
5.1 What Constitutes a Data Breach
A “data breach” or “security incident” means any event, whether intentional or accidental, that results in the unauthorized access to, disclosure of, loss of, destruction of, or alteration of personal data held by BlueRed Digital. This includes but is not limited to:
- Hacking, cyberattack, ransomware, or malware affecting our servers or systems.
- Unauthorized access to user accounts or the Platform by a third party.
- Accidental exposure of personal data due to a technical error or system misconfiguration.
- Loss or theft of devices containing user data.
- Breach by a third-party vendor or partner who processes data on our behalf.
- Any other unforeseen event that compromises the confidentiality, integrity, or availability of personal data.
5.2 Our Immediate Response Obligations
Upon becoming aware of a data breach or security incident, BlueRed Digital will take the following steps without undue delay:
- Contain the breach — We will immediately isolate affected systems, revoke compromised access credentials, and engage our security team to prevent further unauthorized access.
- Assess the scope — We will conduct an urgent internal investigation to determine the nature of the breach, the categories and volume of data affected, and the likely consequences.
- Engage expert support — Where necessary, we will retain qualified cybersecurity professionals to assist with containment and forensic investigation.
- Preserve evidence — All logs, records, and evidence relating to the breach will be preserved for the purposes of investigation and regulatory compliance.
5.3 Notification to Users
We are committed to being transparent with our Users in the event of any breach that affects their personal data.
Timeline: If a breach is reasonably likely to result in harm to your rights or interests, we will notify you as soon as practicable, and in any event within seventy-two (72) hours of becoming aware of the breach, in accordance with the DPDPA and DPDP Rules, 2025.
Method of notification: We will notify you via the Main Email associated with your Account, and by a prominent notice on the Platform.
Our notification to you will include, to the extent known at the time:
- A description of the nature of the breach (e.g., hacking, accidental disclosure, third-party breach).
- The categories of personal data that were affected (e.g., email addresses, financial data, content metadata).
- An estimate of the number of individuals or accounts affected.
- The likely consequences of the breach.
- The steps we have taken or propose to take to address the breach and mitigate its effects.
- The specific steps you should take to protect yourself (e.g., change your password, monitor your accounts).
- Our contact details for follow-up questions or concerns.
5.4 Notification to Regulatory Authorities
In accordance with the DPDPA and DPDP Rules, 2025, BlueRed Digital will report any significant personal data breach to India’s Data Protection Board and any other relevant regulatory authority as required by applicable law. We will cooperate fully with any investigation arising from such a report.
5.5 Steps We Take to Protect Your Data
We maintain the following organizational and technical safeguards to minimize the risk of a breach:
- Encryption of all personal data at rest and in transit using industry-standard protocols (AES-256 and TLS 1.2 or higher).
- Strict access controls ensuring that only authorized personnel can access personal data, on a need-to-know basis.
- Multi-factor authentication (MFA) for all internal systems and privileged accounts.
- Regular security audits, penetration testing, and vulnerability assessments.
- Secure, redundant data backups to enable recovery in the event of ransomware or system failure.
- Staff training on data protection, phishing awareness, and secure data handling practices.
- Contractual data protection obligations imposed on all third-party vendors and processors who handle your data on our behalf.
5.6 Your Responsibilities
While we take all reasonable steps to protect your data, the security of your Account also depends on your own actions. You are responsible for:
- Keeping your password confidential and not sharing it with others.
- Using a strong, unique password and enabling any available security features on your Account.
- Notifying us immediately at privacy@bluereddigital.com if you believe your Account has been compromised or if you notice any suspicious activity.
- Keeping the Main Email on your Account up to date so that we can reach you in the event of an incident.
5.7 Limitation of Liability in the Event of a Breach
Subject to applicable law, BlueRed Digital’s liability in connection with a data breach shall be limited as set out in the Limitation of Liability clause of the BlueRed Backstage Terms and Conditions. Nothing in this policy, however, limits BlueRed Digital’s liability for breaches caused by our own gross negligence or wilful misconduct, or any liability that cannot be excluded under the DPDPA or other applicable Indian law.
We will not be liable for any breach or security incident caused by:
- Your failure to maintain the security of your Account credentials.
- Actions of third-party platforms or DSPs outside of our control (e.g., Spotify, Apple Music).
- Force majeure events, including but not limited to natural disasters, acts of war, or state-sponsored cyberattacks of a scale that could not reasonably have been anticipated or prevented.
5.8 Post-Breach Review
Following any data breach or security incident, BlueRed Digital will conduct a post-incident review to identify the root cause, assess the effectiveness of our response, and implement any additional safeguards required to prevent a recurrence. A summary of findings will be shared with affected Users upon request.
6. Third-Party Data Processors
In delivering the Platform and Services, BlueRed Digital may engage third-party service providers (e.g., payment processors, cloud hosting providers, email delivery services) who process personal data on our behalf. We ensure that all such processors are bound by contractual data protection obligations no less stringent than those set out in this policy, and that they process data solely on our documented instructions.
We do not sell your personal data to any third party under any circumstances.
7. Cross-Border Data Transfers
Some of the third-party service providers we work with may be located outside India. Where personal data is transferred outside India, we ensure that such transfers comply with the provisions of Section 16 of the DPDPA and any applicable government notifications regarding permitted transfer destinations. We will not transfer your personal data to any country that does not provide an adequate level of data protection without implementing appropriate safeguards.
8. Children’s Data
The Platform is not intended for use by individuals under the age of 18. We do not knowingly collect personal data from minors. If we become aware that we have inadvertently collected personal data from a person under 18, we will delete it promptly. If you believe a minor has registered on the Platform, please contact us immediately at privacy@bluereddigital.com.
9. Changes to This Policy
We may update this Data Policy from time to time to reflect changes in our practices, applicable law, or regulatory guidance. Where a change is material, we will notify you by email to your Main Email and by a notice on the Platform at least fourteen (14) days before the change takes effect.
